RSCAP AGREEMENT Consider this a binding agreement between you the Artist and RSCAP. By initialing this agreement, you agree to hand over certain rights to RSCAP. On the date of this Agreement you transfer to us absolutely for all parts of the world the rightswhich belong to you or which you may acquire or own while you remain our member. This transfer shall last for as long as you remain our member and for any additional period which is specified in our Articles. RSCAP will use our best endeavours to administer the rights in accordance with our sales royalty standards. RSCAP will pay any royalties or other compensation due to you based on our Articles. RSCAP will keep your information private and confidential, subject to any practical or legal obligation to disclose suchinformation to any authority or person with the legal power to compel such disclosue. RSCAP will maintain a suspension of royalties procedure which will apply to you if there is a dispute involving the rights RSCAP will provide details on sales earned from our licensees along with pay schedules and account history. This information will be found by logging into your account. You, the Artist, warrant and represent that you own or have full power to transfer the rights and that the musical works(the rights in which you have transferred to us under this Agreement) do not and will not infringe the copyright in any other musical work Artist accept that you are bound by RSCAP Articles Artist will supply RSCAP, upon request, such documents required to enforce the rights Artist will refrain from licensing any of the rights and from otherwise dealing with the rights Artist will avoid doing anything which is likely to prejudice our ability to meet our obligations to you and to our other members Artist will pay any reasonable charges imposed by us for special services Artist will insert each relevant contract you make with a thrid party a clause expressly reserving us the rights and to makesuch contract subject to this Agreement.
